Effective from March 1, 2022. This public offer (hereinafter referred to as the Agreement) is an agreement between Medushenko Alexander Anatolyevich (hereinafter referred to as HOLY-FARM) and individuals who use (hereinafter referred to as Users) the website https://holy-farm.ru (hereinafter referred to as the Site). By making a purchase/sale on the Site, the User agrees to the terms of this Agreement and gives full and unconditional consent to the conditions set forth in the Agreement, resulting in a legal relationship between HOLY-FARM and the User (hereinafter collectively referred to as the Parties and individually as a Party), governed by the Civil Code of the Russian Federation. If you do not agree with any term of the Agreement or if it is unclear to you, please do not use the Site until the uncertainties or disagreements are resolved.
SUBJECT OF THE AGREEMENT
1.1. HOLY-FARM grants the User the right to use the Site and reserves the right to provide a similar level of access to an unlimited number of Users in accordance with the terms of this Agreement.
1.2. The use of the Site is carried out by the User independently, without the direct involvement of HOLY-FARM. HOLY-FARM does not provide any guarantees regarding the compatibility of the Site with the devices used by the User to perform certain actions on the Site, but may provide technical support and updates for the Site. The updated Site may contain corrections of errors, shortcomings, bugs, and/or other innovations.
1.3. The right to use the Site is granted to Users by HOLY-FARM in accordance with the Tariffs published on the Site.
2. RIGHTS AND OBLIGATIONS OF THE PARTIES
2.1. HOLY-FARM provides, and the User receives the right to directly use the Site.
2.2. Registration.
2.2.1. The User can independently register on the Site in the manner provided by HOLY-FARM on the Site.
2.2.2. By registering, the User automatically gives full and unconditional consent to all terms of the Agreement.
2.2.3. As a result of registration, an account is created for the User on the Site. The User accesses the account using their personal email and password. The User is obliged to keep their password confidential. All actions performed using the User's account on the Site are deemed to be executed by the User themselves.
2.3. HOLY-FARM has the right to make changes to the Agreement unilaterally, of which the registered User will receive a corresponding notification via email.
2.4. HOLY-FARM has the right to conduct scheduled technical work on the Site, as a result of which certain functionalities of the Site or the Site as a whole may be temporarily unavailable, about which HOLY-FARM may notify the User in advance via email.
2.5. HOLY-FARM has the right to conduct unscheduled technical work on the Site in cases where such work is necessary to eliminate significant errors, vulnerabilities, as well as in cases of the Site's inoperability that are not related to the direct actions of HOLY-FARM (hacking, attacks, etc.).
2.6. The User is not entitled to assign their rights and obligations under the Agreement to third parties.
2.7. The User agrees to refrain from copying the Site, audiovisual displays, extracting information from it, including individual objects (images, sounds, videos, texts), and performing other actions that are not explicitly provided for by the Site's interface.
2.8. Personal Data
2.8.1. HOLY-FARM may collect technical and personal information when the User uses the Site. This information is collected solely with the User's consent and in accordance with the Site's Privacy Policy.
2.8.2. Providing personal data by the User that is not specified in the Agreement and the Privacy Policy implies their consent to its processing by HOLY-FARM for the purpose of fulfilling the Agreement.
2.9. The User agrees to timely and fully pay HOLY-FARM for Services in accordance with the procedure and tariffs defined on the Site.
2.9.1. The User has the right to request a refund for their order within 24 hours from the time of purchasing the account, if it is not functional due to HOLY-FARM's fault and no replacement of the account is possible. Refunds are possible through Yandex.Money, Qiwi, and Webmoney. Refunds to a bank card are not possible. Refunds are processed within 24 hours after the User contacts customer support.
2.10. The User agrees to conduct transactions through the Site in accordance with the terms of the Agreement and within the framework of the technical functionality of the Site, taking into account technical limitations. Violation of any of the terms is considered a breach of the Agreement.
2.11. Prices in the User's offers are indicated taking into account the agency reward of HOLY-FARM and the commissions of payment systems, i.e., the total amount that the User will pay.
2.12. Agency services and agency reward.
2.12.1. When the User makes a purchase on the Site, expressing acceptance of a specific offer from another User, they instruct HOLY-FARM to provide agency and other services as provided in this Agreement, and agree that, given that all registered Users of the Site have accepted the Agreement, no power of attorney is required for the agent.
2.12.2. The obligation to pay for a transaction between Users is considered fulfilled at the moment the funds are credited to the balance of the User who is selling on the Site.
2.12.3. The User understands and confirms that HOLY-FARM is not a party to the transaction between Users but acts as an agent on behalf of the User making the purchase on the Site, at their request and at their expense, and therefore HOLY-FARM is not responsible for any actual and/or legal consequences of the transaction between Users.
3. AMENDMENT AND TERMINATION OF THE AGREEMENT
3.1. This Agreement is effective until terminated by HOLY-FARM. In the event that HOLY-FARM decides to close the Site or otherwise suspend its operation, it will notify the User of its decision in advance. The Agreement is considered terminated from the moment the Site is closed and/or its operation is otherwise suspended accordingly.
3.2. If the terms of the Agreement change, the User must familiarize themselves with them, and their authorization on the Site, by entering their email and password after the new edition of the Agreement comes into effect, signifies full acceptance of the new terms. If the User disagrees with the new edition of the Agreement, they must cease using the Site.
3.3. HOLY-FARM has the right to unilaterally refuse to perform the Agreement if the User violates any of its terms. The Agreement is considered terminated out-of-court at the moment the User is actually deprived of authorized access to the Site.
3.4. HOLY-FARM may refuse to enter into the Agreement if the User has previously violated the licensing conditions of the Site or any other contracts entered into with HOLY-FARM, or may unilaterally refuse to perform the Agreement at any time without any monetary compensation.
4. INTELLECTUAL PROPERTY RIGHTS
4.1. The HOLY-FARM service and all related intellectual property rights, including copyrights on text, drawings, images, databases, audio, and video contained on the HOLY-FARM Site (hereinafter referred to as "Copyrights and Intellectual Property Rights"), are the property of HOLY-FARM.
4.2. HOLY-FARM has the right to fully or partially transfer all Copyrights and Intellectual Property Rights to a third party at any time without notifying the User and providing such information to them, by granting an exclusive or non-exclusive license for the use of Copyrights and Intellectual Property Rights.
4.3. The User acknowledges all Copyrights and Intellectual Property Rights and simultaneously states that they will always comply with and respect all Copyrights and Intellectual Property Rights when using HOLY-FARM and thereafter
5. LIABILITY
5.1. HOLY-FARM is not responsible for any errors or defects of the Site, as well as for any other forms of improper functioning of the Site that are beyond our control.
5.2. HOLY-FARM bears no responsibility for the suitability of HOLY-FARM for the User's intended purposes.
5.3. The User is responsible for any use of the Site and HOLY-FARM data that violates this Agreement, as well as for any other unlawful or illegal use of the Site.
5.4. If the User uses the Site or HOLY-FARM data in a manner that contradicts or does not comply with the Agreement and Privacy Policy, the User bears full responsibility for any resulting losses.
5.5. Neither the User nor HOLY-FARM is liable for non-fulfillment of their obligations caused by force majeure circumstances.
6. OTHER PROVISIONS
6.1. HOLY-FARM is not responsible for any actions on the Site unless such actions were carried out by HOLY-FARM and/or its employees intentionally to violate the terms of the Agreement.
6.2. The name of the Site and the domain name are protected means of individualization. Their use without the consent of the rights holder is not permitted.
6.3. HOLY-FARM has the right to send the User messages of various nature through the Site interface and/or via email concerning solely HOLY-FARM, the Site, the Agreement, and services.
6.4. The relations of the Parties are governed by the legislation of the Russian Federation, as well as the laws of other countries if the User is not a citizen of the Russian Federation.
6.5. The place of execution of the Agreement is the location of the main office of HOLY-FARM – in Moscow, Russian Federation.
6.6. The court with jurisdiction over disputes arising from this Agreement is the court at the location of HOLY-FARM’s registration, determined on the day of filing the claim in accordance with the current procedural legislation of the Russian Federation.
6.7. For the calculation of deadlines under this Agreement, the Parties have determined the application of Moscow time (Russian Federation).
6.8. Emails (and any attachments therein) are documents sent using electronic mail (e-mail), as well as documents sent through an account on the Site (notifications about data changes, User requests, messages, etc.), and are recognized by the Parties as equivalent to documents on paper signed by the respective Party's handwritten signature. The proper email addresses are: from HOLY-FARM - the email addresses specified on the Site, and from the User - the email address provided by them upon entering into the Agreement.
7. REFERRAL PROGRAM
7.1. If the User fulfills all the conditions set forth in the link, HOLY-FARM may pay the User a reward in the amount provided by the Referral System.
7.2. The User acknowledges that the burden of paying all taxes and fees related to receiving such a reward is solely their responsibility.
